Responsibilities
SC members engage in thoughtful discussions to help provide:
- Strategic definition and oversight;
- Regulatory compliance and monitoring;
- Maintenance of relationships and organizational identity;
- Decisions on the OKRs of the Foundation;
- Approval of the Foundation's Budget; and
- Approval of changes to the Foundation's Charter.
Mutual accountability and support are essential among committee members. Committees are collaborative environments where everyone is responsible for their commitments and supports one another's contributions.
Authority
Decision-making
The SC makes all decisions by consensus. When the committee cannot reach consensus, it proceeds to make a decision by a Supermajority Vote.
A Supermajority Vote is an affirmative vote of no less than 3/4 of SC members in attendance and who have participated in at least 50% of the last four meetings. In this instance, each SC member has one vote.
Note the voting requirement for attendance/participation in at least 50% of the last four meetings gets waived if there have not yet been four completed meetings.
